(“we,” “our,” or “us”).By accessing or using the Platform, creating an account, or submitting information through the website, you agree to be bound by these Terms.If you do not agree, do not use the Platform.
2. Description of Services
PICK! is a decision-assistance platform that connects diners and restaurants through a randomized spin interface with calibrated weighting and Spotlight participation options.We do not guarantee:
Restaurant availability
Menu accuracy
Pricing accuracy
Reservation availability
Delivery performance
Business outcomes for participating restaurants
The Platform is designed to facilitate discovery, not to guarantee results.
3. User Accounts (Diners)
If you create an account:
~ You are responsible for maintaining the confidentiality of your login credentials.
~ You are responsible for activity occurring under your account.
~ You agree to provide accurate and current information.
We reserve the right to suspend or terminate accounts at our discretion.
4. Restaurant Participation
Restaurant participation, including Spotlight designation, is subject to separate agreements
where applicable.
PICK! does not guarantee traffic, revenue, or specific outcomes.
Inclusion in the Platform does not constitute endorsement.
5. Acceptable Use
You agree not to:
~ Use the Platform for unlawful purposes
~ Attempt to reverse engineer, scrape, or extract data
~ Interfere with platform functionality
~ Upload harmful code or malicious content
~ Misrepresent identity or affiliation
We reserve the right to restrict or terminate access for violations.
6. Intellectual Property
All content, trademarks, branding, design elements, and platform mechanics are the property
of PICK! or its licensors.
You may not copy, reproduce, distribute, or create derivative works without prior written consent.
7. Third-Party Services
The Platform may link to or integrate with third-party services, including payment processors,
reservation systems, or delivery platforms.
We are not responsible for the content, policies, or performance of third-party services.
8. Disclaimer of Warranties
The Platform is provided “as is” and “as available.”
We disclaim all warranties, express or implied, including:
~ Merchantability
~ Fitness for a particular purpose
~ Non-infringement
We do not warrant uninterrupted or error-free operation.
9. Limitation of Liability
To the maximum extent permitted by law:
~ PICK! shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from
use of the Platform.
~ Our total liability shall not exceed the amount paid by you to PICK! in the preceding twelve (12) months, if any.
10. Indemnification
You agree to indemnify and hold harmless PICK! from any claims, damages, liabilities, or expenses
arising from your use of the Platform or violation of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the
State of Tennessee, without regard to conflict of law principles.
Venue for any permitted court proceedings shall be in Davidson County, Tennessee.
12. Binding Arbitration & Class Action Waiver
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration conducted in Tennessee in accordance with the rules of a recognized arbitration association.
You agree that:
~ Disputes will be resolved on an individual basis
~ You waive the right to participate in a class action
~ You waive the right to trial by jury
This arbitration provision survives termination of your use of the Platform.
13 Changes to Terms
We may modify these Terms at any time. Updated Terms will be posted with a revised effective date.
Continued use of the Platform constitutes acceptance of the revised Terms.
